In Sripetch v. SEC, the #SupremeCourt ruled the SEC can strip wrongdoers of ill-gotten gains without the need to prove that investors suffered financial harm, only that their legally protected rights were violated. But the Supreme Court left two big questions open: 🎯 Whether disgorged funds must go to victims vs. the U.S. Treasury; and 🎯 Whether the #SEC, under its new statutory authority, must honor a defendant’s Seventh Amendment right to a jury trial. The Supreme Court has issued a unanimous decision holding that the SEC is not required to show pecuniary harm to disgorgement to seek equitable relief. The Shadow SEC (of which I'm a member) has a new Statement out, on the GOP-only SEC's third pending major multi-rule-change set of fraud inducing proposals. https://lnkd.in/gQcBYPMA These substantially loosen the '33 Act offering process, including tripling the number of companies entitled to use no-due-diligence, no-review, automatically effective shelf-registration statements. The recent US Supreme Court decision eliminating removal safeguards for independent agency members could increase the politicization of US bank regulation and create instability, experts say. The decision, in Trump v. Slaughter, allows the president to fire members of agencies such as the Federal Deposit Insurance Corp. and the Securities and Exchange Commission without cause, which could prompt lawmakers to reconsider the structure of such agencies. "If I were a bank today I would be very worried about the staying power of any regulatory policy not specifically required by law beyond the end of a presidential term," said Todd Baker, senior fellow at Columbia University's Richman Center for Business, Law and Public Policy.
