Due diligence today means looking beyond the balance sheet. It means understanding where data sits, who controls it, and which laws apply. Our CEO Alexandre Grellier explains why AI and digital sovereignty are becoming real transaction risks for dealmakers in this article by Real Deals 👇

Bigger tickets, more add‑ons, tighter timelines: European M&A and private equity are recovering, but not in a straight line. In our recent webinar, “European M&A & PE trends 2026: recovery meets complexity”, the data and our speakers painted a clear picture: European dealmaking is gaining momentum again, but through fewer, larger and much more selective transactions. A few of the insights we discussed: 👉 Average PE and M&A deal sizes have climbed sharply, driven by a handful of very large transactions, while many mid‑market deals still face valuation and financing friction. 👉 Add‑on acquisitions now represent close to three‑fifths of European PE buyouts, turning integration and repeatable due diligence processes into a structural competitive advantage. 👉 AI, data governance and digital sovereignty have moved from buzzwords to deal requirements, with investors under pressure to keep sensitive data within European legal and infrastructure frameworks. Our recap breaks down what this “selective recovery” means for sourcing, pricing and execution across key European markets – and the on‑demand recording lets you go deeper into the discussion. Every digital click and communication about a confidential deal is a choice about control. If your platform is not fully European – in ownership and jurisdiction, not just server location – your most confidential M&A, real estate, financing or legal documents can be exposed to extra territorial laws like the US CLOUD Act. At Drooms, we believe digital sovereignty is not a slogan. Its why we built our platform in Europe from the ground up – focusing on European ownership, GDPR compliant data storage in Europe, and in-house developed AI that is built in, not bolted on via external APIs. We created a practical “Digital sovereignty checklist for dealmakers” that you can plug straight into RFPs, procurement and internal risk reviews to see whether your current or next platform really keeps your data in your control. Fast, sovereign financial restructuring – how do industrial groups protect traceability and trust under pressure? DF-Duro Felguera, a Spanish industrial engineering and construction group with more than 150 years of history, used Drooms to manage documentary communication with creditors during a complex financial restructuring process where every document shared carried potential legal implications. With multiple external parties involved, the company needed granular control over permissions, full auditability of who accessed what and when, and a platform that could guarantee confidentiality and minimise legal and operational risk. By centralising communication with Drooms, Duro Felguera’s team gained precise, action-level traceability, reduced time spent managing access rights and locating documentation, and responded faster and more accurately to lawyers’ evidence requests – cutting back-and-forth communication and strengthening confidence with creditors and advisers. Crucially, Drooms’ status as a 100% European platform with servers hosted fully within the EU, subject only to European data protection regulation, made digital sovereignty a decisive factor in the selection, outweighing more “innovative” tools that could not match the same security level. 🔍 Read the full case study on how Duro Felguera used Drooms to run a highly controlled, digitally sovereign restructuring process: https://lnkd.in/e3BUUe38

Drooms hat dies direkt geteilt
European dealmaking is back. But the headline numbers hide the real story. I went through the new Drooms 2026 report, built on PitchBook data. Here's what stood out. 2025 closed near a decade high: • 8,187 PE deals • 18,485 M&A deals And the average deal got significantly bigger. Average PE deal size reached €359.7M, up from €289M a year earlier. Average M&A deal size climbed to €546.3M, up from €276M. A handful of outlier deals pull the average up, while most of the market moves into smaller add-ons. Add-on acquisitions grew to 58.1% of all PE activity. Taken together: a market that's more concentrated and more selective than the totals suggest. Capital is flowing into larger opportunities. More transactions are running in parallel. And private company inventories keep outpacing buyers' ability to evaluate them. That changes where execution risk sits. As deal values rise, every delay, missing document, or security gap in due diligence gets far more expensive to carry. When several deals run at once, managing sensitive information becomes part of protecting the deal's value. That's the part many market reports skip. The momentum is real. The infrastructure behind the deal now matters as much as the deal itself. Comment "𝗧𝗿𝗲𝗻𝗱𝘀" and I'll send you the full PDF report.

Home advantage matters. In football, teams play differently when the crowd is behind them, the ground is familiar and every detail works in their favour. In European M&A and PE, digital sovereignty creates a similar “home advantage” when your deal platform is built and governed on European turf. Discover why EU hosted is not the same as EU sovereign, and how platforms owned, operated and supported in Europe help deal teams control jurisdictional risk, deploy AI safely and protect sensitive data for the long term. It is the difference between playing an away game under someone else’s rules and running deals in a stadium designed for you. See how choosing a home turf platform can change the momentum of your next deal. 👉 Read the blog: https://ow.ly/Bx1R50Zi8IQ

When it comes to handeling confidential documents, one theme remains central: trust. You are not just testing a new feature, you are putting highly confidential information into someone else's hands and hoping it's treated with the same care you apply to your own processes. That is exactly why we chose to build our AI differently. Instead of outsourcing intelligence to a third party, we have a dedicated AI team in house whose job is to design and develop the AI features inside our platform. They work hand in hand with our product, security, and customer support teams, so what you get is not a generic chatbot, but AI that reflects real M&A, real estate, and legal workflows. Everything runs on georedundant European servers. Your data is not sent off to external AI providers, and your transaction data stays within the Drooms environment, ensuring digital sovereignty and GDPR compliance. You get powerful, deal ready AI while you stay in control of where your data goes and how it is handled. Explore more about our AI-features here: https://lnkd.in/eXBnbkTZ
