We’re delighted to announce the acquisition of Hanley Pepper Consulting Engineers, an Ireland-based team of civil and structural engineers with 39 years of experience supporting the delivery of data centres and critical infrastructure. Hanley Pepper’s expertise complements and strengthens our existing offering very well. Civil and structural engineering is fundamental to data centre delivery, from the structural integrity of buildings, to the increasingly complex underground infrastructure required to accommodate extensive arrangement of services critical to data centre operations. Bringing Hanley Pepper into the Ethos group allows us to deliver civil and structural engineering services as part of one unified offering, giving clients maximum convenience and simplicity while maintaining the service excellence, commitment and expertise our teams demonstrate every day. We have many clients in common with Hanley Pepper and have worked alongside them on projects across 11 different jurisdictions. Therefore, we know first-hand that they have the right team, culture and values for our business. From day one, they will bring their skills to bear for clients all over EMEA. This acquisition is the fourth we have made as part of our strategy to broaden and enhance our offering at Ethos. With the strong support of Exponent, we now employ over 400 people and operate in 21 countries across EMEA. We are very grateful to our people, our industry colleagues, partners and our valued clients for their ongoing support and look forward to welcoming our new Hanley Pepper colleagues to Ethos! • We recently hosted our Portfolio ESG Event in London, bringing together representatives from across the Exponent portfolio for a day of insightful discussion, practical case studies and shared learning.   The event was an opportunity for portfolio companies at different stages of their ESG journeys to exchange ideas, discuss common challenges and share experiences on embedding sustainability into their businesses.   At Exponent, we believe that integrating sustainability considerations into business and investment strategies is important not only in helping to manage risk, but also in supporting long-term value creation. Bringing our portfolio companies together to collaborate and learn from one another is an important part of that approach.   Well done to Lizzie Stazicker, our Director of Sustainability on delivering a fantastic event and thank you to everyone who contributed so openly to the discussions and to our speakers and participants for making the day such a success.

Delighted to announce that today we welcome Optimas International, a carve out from Optimas Solutions, to the Exponent portfolio.   The transaction marks Exponent’s ninth corporate carve-out over the last decade and builds on the firm’s deep experience in the services sector. Optimas International is a global provider of distribution and supply chain management services, of “mission-critical” fasteners and c-class components, supplying blue-chip OEMs across a range of industrial end markets. The business is headquartered in the UK and helps its customers to streamline their supply chains through managing the sourcing, storage, and delivery of essential fasteners and related components. The business’s value-added services across engineering support, product design and quality assurance help customers to reduce costs, solve technical problems and ensure quality across their production processes. Commenting on the deal, Tim Easingwood, Partner at Exponent, said: “We see a compelling opportunity in our partnership with Optimas International, which is well established as a key global supplier to many leading industrial manufacturers in Europe and Asia. The business is well positioned for accelerated growth under our ownership, underpinned by its strong customer supplier relationships, a differentiated value proposition, and disciplined operational execution. We also see the potential to further scale the platform through M&A in a highly fragmented market. We look forward to working with Mike, his team and Axel on this exciting next phase of growth for Optimas International.” Exponent’s plan for the business is centred on strengthening Optimas’ commercial and operational capabilities, and broadening its offering to better serve existing and new customers across their supply chain requirements. • We are pleased to announce that portfolio company Ethos Engineering, a Dublin-based leader in sustainable data centre design services delivered across EMEA has acquired 3DEC, a UK-based technology design consultancy.   This is Ethos’ second acquisition since Exponent’s investment in 2024 and will further strengthen Ethos’ capabilities in ICT design, which is increasingly mission-critical for digital infrastructure, as end-user demand for performance, resilience, and scalability continues to increase. 3DEC offers world-class services across data centres, commercial workplaces and educational environments and these capabilities will be brought in-house at Ethos.   Commenting on the announcement, Anthony Clegg, Partner at Exponent, said: “This acquisition is an important milestone for Ethos as the company continues to accelerate growth, broaden its service offering and increase headcount. We’re delighted to announce that we have acquired 3DEC, a UK-based technology design consultancy, providing world-class service to data centres, commercial workplaces and educational environments. 3DEC specialises in ICT, Audiovisual, BIM-led design, and Project Management services. We've built an excellent offering in this area already, and 3DEC’s expertise will help complement and build on that. ICT design services are mission-critical within data-centre environments, as end-user demand for performance, resilience, and scalability continues to increase. This means that specialist external providers like Ethos can add significant value through their expertise and capability. We know the team at 3DEC well and have already worked with them on many projects. Throughout this time, it’s been very clear that they share a similar culture to ours, focused on excellence and innovation for their clients. Bringing 3DEC’s expertise in-house will help us deliver projects more quickly for clients than if we remained separate businesses. Adding their team of more than 40 highly skilled engineers also highlights our long-term commitment to the UK market and our continued investment in local capability. This is another major strategic milestone for our business, following the investment we received from Exponent in 2024. Over this period, we have significantly grown revenue, expanded our team to 259 employees, acquired SIMSTUDIO International Consultants, and moved into our purpose-built new HQ. We are very grateful to our people and our valued customers for their ongoing support of our business, and look forward to welcoming our new 3DEC colleagues to the Ethos team.
