UK Subsidiary Statements

In accordance with the Companies Act 2006 (CA 2006) a number of InterContinental Hotels Group PLC's (“IHG”) UK subsidiaries (the “subsidiaries”) are required to prepare a statement in their Strategic Report that describes how the directors have discharged their duty to promote the success of the company for the benefit of its members as a whole, while having regard to the matters set out in section 172(1)(a) to (f) CA 2006 (the s172 factors).

In 2022 the directors of these subsidiaries continued to exercise all their duties, while having regard to the s172 factors as they reviewed and considered proposals from management and governed each of the companies on behalf of their shareholders through their respective boards.

IHG’s section 172 statement is included in its 2025 Annual Report and Form 20 F on page 124 and 125. The section 172(1) statements for the subsidiary companies are available to download below.
